QUALIFICATIONS AND JOB DESCRIPTION

Yıldız Holding, one of the largest and fast-growing groups of Turkey, is looking for M&A Senior Manager. A brief job description of the position and preferred qualifications for the suitable candidates are defined below:

JOB DESCRIPTION

  • Managing/co-managing M&A projects end-to-end
  • Evaluating M&A and other investment/divestiture opportunities including:

-Performance of initial commercial / financial analysis on prospective acquisition/divestment targets

-Analysis of the value chain of the target, building up growth and synergy assumptions, peer analysis, observing and analysing the competition

-Valuation and building up financial model of the company

  • Preparing/analysing marketing materials (teasers, IM, management presentations, etc.)
  • Carrying out deal structuring and executing other transaction-related tasks
  • Coordinating functional teams and building up data rooms, timely answering buyer queries
  • Conducting Confidentiality Agreement negotiations from a commercial perspective
  • Supporting the project team in negotiation of transaction documentation including sales and purchase agreements, TSA and other legal arrangements

  • Helping development of a strategic vision to build a successful business portfoliobased on the assessment of market dynamics, trends and competition
  • Keeping fully up to date with the financial markets and the sector developments

  • Continuously enhancing market knowledge to improve long-term shareholder value

QUALIFICATIONS

  • Undergraduate degree from reputable universities, Master’s degree in a relevant discipline is an asset
  • At least 8 years of experience in Investment Banking, Corporate Finance or Private Equity
  • Complete know-how of M&A processes including due diligence

  • Prior experience in managing M&A processes is amust

  • Excellent command of verbal and written English

  • Advanced knowledge in MS Office applications

  • Strong communication and presentation skills

  • Strong inter-personal and relationship-building skills

  • Excellent in teamwork, planning and organization skills
  • Ability to manage competing priorities across a wide range of stakeholders

  • Ability to work on multiple projects simultaneously and react to changing priorities

  • Resilience to perform under pressure

  • Strong analytical, problem solving skills

  • Can-do approach, result oriented and strong problem-solving ability
